MERGER RESOLUTION BETWEEN
ASSOCIATION STAFF UNION AND
WASHINGTON-BALTIMORE NEWSPAPER GUILD
LOCAL 32035, TNG-C WA, AFL-CIO, CLC

THEREFORE, it is hereby resolved that:

(1) Effective September 1, 2000, that Association Staff Union amalgamate with the Washington-Baltimore Newspaper Guild, Local 32035 of The Newspaper Guild-C WA, AFL-CIO, CLC.
(2) Effective September 1, 2000, the status of the Association Staff Union as exclusive bargaining representative of certain employees of the American Nurses Association in the appropriate bargaining unit covered by the current collective bargaining agreement by and between the Association Staff Union and the American Nurses Association and its status as party to the collective bargaining agreement, shall be transferred to and shall vest in the Washington-Baltimore Newspaper Guild, Local 32035 of The Newspaper Guild-C WA, AFL-CIO, CLC.
(3) The Officers of Association Staff Union shall continue as officers of the Association Staff Union unit of the Washington-Baltimore Newspaper Guild.
(4) Effective January 1, 2000, the Washington-Baltimore Newspaper Guild shall assume the liabilities and assets of the Association Staff Union, and such funds shall be spent for the representational needs of Association Staff Union unit members.
(5) The Officers and Executive Board of Association Staff Union shall take all steps necessary to accomplish the actions and objectives set forth herein. This resolution shall take effect the First day of September 2000.

ADDENDUM TO MERGER RESOLUTION
BETWEEN ASSOCIATION STAFF UNION
AND WASHINGTON-BALTIMORE NEWSPAPER GUILD
LOCAL 32035, TNG-CWA, AFL-CIO, CLC

This agreement is part of the Merger Resolution signed August 17, 2000, between the parties.

1. The monetary assets of the Association Staff Union shall remain in the control of the Association Staff Union unit until January 1, 2001, when they shall be transferred to the Washington-Baltimore Newspaper Guild, Local 32035, TNG-C WA, AFL-CIO, CLC, and maintained in a segregated account to be spent for the representational needs of the Association Staff Union unit members. Such funds shall be available to the Association Staff Union unit within seven days of a request.
2. WBNG, Local 32035, TNG-CWA shall be responsible for the audit of the Association Staff Union unit. s fund for the period of July 2000 through December 2000.
3. WBNG, Local 32035. TNG-C WA, shall transfer $500 by January 8, 2000, io its Association Staff Union unit as a petty-cash account to be used principally to continue the Association Staff Union. s program of condolences and for the emergency needs of the unit. WBNG, Local 32035, TNG-CWA shall replenish this account as needed. Expenditures from the account shall be accompanied by receipts or vouchers.
4. The Association Staff Union unit shall maintain the Association Staff Union. s computer and other office equipment and supplies.
5. Association Staff Union unit members shall continue to pay dues or fees in accordance with the Association Staff Union. s bylaws through December 2000. Beginning January 2001, dues or fees applicable to employees covered by the Association Staff Union unit. s contract with the American Nurses Association shall be those uniformly applied by WBNG, Local 32035, TNG-CWA.
6. For the period September 2000 through December 2000, the Association Staff Union unit shall remit, within ten days of the end of the applicable month, to WBNG, Local 32035, TNG-C WA, the dues or fees applicable to employees covered by the Association Staff Union unit. s contract with the American Nurses Association that are uniformly applied by WBNG, Local 32035, TNG-CWA.
